Cemex Divests Operations in Colombia for US$555 Million

Cemex has announced plans to divest a portion of its operations in Colombia through multiple transactions with different buyers, in a move aimed at streamlining its portfolio and strengthening its focus on key markets.

The company expects the combined transactions to generate approximately US$555 million, representing about a 10× multiple of projected 2025 EBITDA.

Initial agreement signed with Holcim

As part of the first phase of the divestment, Cemex has entered into an agreement with Holcim Group to sell several assets in Colombia for US$485 million.

The assets included in the transaction are:

  • The Caracolito cement plant
  • The Santa Rosa grinding mill
  • A portfolio of ready-mix concrete plants
  • Aggregates, mortar and admixture facilities

The deal is expected to close by the end of 2026, subject to customary conditions including regulatory approvals.

Additional asset sales under negotiation

Cemex is also negotiating with other third parties for the sale of remaining assets in the same geographic region that are not part of the agreement with Holcim.

These additional divestments are expected to generate around US$70 million in proceeds, bringing the total value of the transaction package to approximately US$555 million.

Portfolio strategy and leadership comments

According to Jaime Muguiro, CEO of Cemex, the move is part of a broader strategy to rebalance the company’s global portfolio and focus on key growth markets.

“We are pleased with the continued progress we are making in further streamlining our portfolio, while we focus on investing and strengthening our position in key geographies and businesses in the U.S., Europe and Mexico,” Muguiro said.

The portfolio restructuring initiative began in 2018 and has already resulted in several strategic divestments and investments across the company’s international operations.

Cemex to maintain presence in Colombia

Despite the asset sales, Cemex will maintain a significant operational presence in Colombia.

Following the completion of the transactions, the company will retain:

  • Two cement plants in Maceo and Cúcuta
  • A grinding mill in Clemencia
  • Several ready-mix concrete plants
  • Aggregates quarries

These facilities will provide a combined installed capacity of approximately 1.6 million tons of cement per year, allowing Cemex to continue serving the Colombian construction market.

Global operations and sustainability focus

Headquartered in Monterrey, Cemex is a global construction materials company that produces cement, ready-mix concrete and aggregates across multiple international markets.

The company has also committed to achieving carbon neutrality through innovation and sustainable construction solutions, including expanding the use of alternative fuels, recycled materials and circular economy practices across its operations.
